    Job Summary & Key Responsibilities

    Role Summary/Purpose:

    Based out of the Company’s headquarters in Cary, North Carolina, the successful candidate will be an experienced and versatile corporate paralegal who works alongside and with the General Counsel, as well as directly with the various internal departments. The ideal candidate will be dynamic, articulate, organized, and able to support cross-functional coordination in a diverse and fluid environment.

    Essential Responsibilities:

    • Draft and assist with the negotiation of internal and external legal agreements under the direction of the General Counsel and in coordination with business group contacts.
    • Organize and maintain company’s contracts and company’s corporate governance documents.
    • Assist with the preparation and revision of standard contracts and company policies.
    • Support and drive departmental initiatives, including the new legal support processes, contract programs, and templates, and the use of technologies to increase efficiencies.
    • Maintain and streamline an electronic filing system with all company contracts and other important documents.
    • Organize and maintain board of director materials and assist with legal department’s preparation for board and committee meetings.
    • Assist with the preparation of board and shareholders meeting minutes and/or consents.
    • Prepare stock option agreements and manage option exercises, including preparation of stock certificates.
    • Maintain and assist with corporate formalities, such as annual compliance filings.
    • Assist internal and external counsel, as well as various business unit clients in customer claims/issues; assist drafting of resolutions and settlements.
    • Project tasks and project management responsibilities, as needed.

    Job Qualifications & Other Requirements

    • Bachelor’s degree and at least 3 years’ experience as corporate paralegal in a law firm or in-house setting.
    • Strong computer skills required, including proficiency with MS Office Suite (Outlook, Word, Excel, PowerPoint), Salesforce, and DocuSign.
    • Excellent interpersonal, verbal, and written skills.
    • Strong customer service focus.
    • Excellent organization and record keeping skills with attention to detail.
    • Self-starter with a strong work ethic, and ability to work with a team and independently.
    • Ability to manage, prioritize, and organize several projects, completing the same in a timely fashion.
    • Possess excellent judgment in decision making.
    • Demonstrated ability to handle highly confidential information appropriately.
    • Ability to remain flexible.
